The Bribery Act 2010 created four criminal offences: offering a bribe, accepting a bribe, bribing a foreign public official, and, significantly, the corporate offence of failing to prevent bribery by an associated person. That last offence means that even if an employee or agent acts without the employer’s knowledge or encouragement, the organisation can be criminally liable, unless it can demonstrate that it had adequate procedures in place to prevent bribery.
